This page (together with the documents referred to on it) tells you the terms of use on which you may make use of our website oodleapp.co.uk (our "Site") or any application we make available via an app store or otherwise (our "Service"), whether as a guest or a registered user. This also includes terms and conditions on which our "Restaurant Partners" (definition follows) supply to you, any of their food (the "Food"). Any terms and conditions of the Partner Restaurant not listed here, but that would apply to their walk-in customers will apply to you when you use our service to order food from them. Please obtain a copy of any such terms and conditions from the manager at the partner restaurant. Please read these and our terms of use carefully before you start to use or Site or our Service to order food. By accessing our Site or by using our Service, you indicate that you accept these terms of use and that you agree to abide by them.

oodleapp.co.uk is a website operated by Optimeta Solutions Limited ("we", "us" or "Oodle"), incorporated and registered in England and Wales, whose registered office is at 71-75, Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom. Our Company registration number is 11740517. Our VAT number is . Oodle is a service that offers a mobile app for Android and iOS based phones where we help users to order food and pay at the table in restaurants without the need of a waiter. The food is prepared and sent to the table by the restaurant (our "Restaurant Partner").

Purpose

The purpose of our service is to provide a simple and convenient service to you, enabling the restaurants we partner with ("Restaurant Partners") to display their menus in a useful manner, and allowing you to order food and pay from them. Oodle acts as an agent on behalf of the Restaurant Partner when it presents their menu to you and concludes any order you make. Once you have placed an order, your food will be delivered to you at your table (or at the counter if you place a takeaway order) by the Restaurant Partner.

Service Availability

Access to our Site and to our Service is permitted on a temporary basis, and we reserve the right to withdraw or amend access to our Site or our Service without notice (see below). We will not be liable if, for any reason, our Site or our Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts our Site or our Service, or our entire Site or Service to users who have registered with us. We aim to update our Site and our Service regularly, and may change the content at any time. If the need arises, we may suspend access to our Site and our Service, or close them indefinitely. Any of the material on our Site or our Service may be out of date at any given time, and we are under no obligation to update such material. You are responsible for maintaining the confidentially of your login details and any activities that occur under your account. If you have any concerns about your login details or think they have been misused, you should contact [email protected] straight away to let us know. We can deactivate your account at any time.

Acceptable Use

You may use our Service only for lawful purposes. You may not use our Site or our Service in any way that breaches any applicable local, national or international law or regulation or to send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards in the relevant clause below. You also agree not to access without authority, interfere with, damage or disrupt any part of our Site or our Service or any network or equipment used in the provision of our Service.

Orders

When you place an order through our Service (i.e., after successful payment for the order), it will be sent to the Restaurant Partner on a best effort basis. The sale is concluded when the Restaurant Partner receives your order, prepares it, and delivers it to your table (or at the counter if takeaway). The chances of a sale concluding successfully depends on several factors, some of which may not be under our control. We will conduct a technical investigation of every unsuccessful order, and if findings conclude that we are at fault, we assure to refund your payment in accordance with our terms. Please ensure that you have given us a correct email address as this is how we will communicate with you about any issues with your order. You will act on your own behalf and not for any other person when you place an order with us. The contract for the supply of any food you order through us will be between you and the Restaurant Partner and will only be formed when we confirm on the app. Oodle will in no way be responsible in the event that there is a problem with your food either in regards to food quality and/or any other issues. We do monitor our Restaurant Partners very closely and it is of utmost importance to us that they comply with our standards and help us to maintain our reputation. Food

All items on the menus are subject to availability. Your Restaurant Partner may offer an alternative for any food it cannot provide you with, or we will issue you a refund in accordance with our terms if you have already paid for food that became unavailable. Any other terms and conditions of the Restaurant Partner that would normally apply to their walk-in customers will apply to you when you use our service to order food from them.

Allergies and Dietary Preferences

Our Restaurant Partners may use nuts and other allergens in the preparation of food. Oodle cannot guarantee that any of the food sold by our Restaurant Partners are free of allergens. However, you may specify your allergies in our app and we will, on a best-effort basis, inform you if any dish on the menu is allergic for you by marking the dish accordingly on the menu. Similarly, if you follow a specific diet, then we will, on a best-effort basis, inform you if any dish on the menu is not suited for your diet by marking it accordingly. Please note that Oodle relies solely on information provided by the Restaurant Partner to make decisions regarding the suitability of any dish for you as per your allergies and dietary preferences. Therefore, this feature of our service is on a best-effort basis only, and in no event shall Oodle be held liable for any consequences of incorrect information displayed on the app. If you suffer from a serious allergy, we strongly recommend that you speak to the Restaurant Manager first before placing an order.

Sale Of Alcohol

Persons placing an order for alcohol from our Restaurant Partners must be aged 18 or over. Alcoholic beverages can only be sold to persons aged 18 or over. By placing an order that includes alcohol, you confirm that you are at least 18 years old. The Restaurant Partner may refuse to serve any alcohol to any person who does not appear, or cannot prove they are, aged 18 or over. In this case, we cannot issue you a part refund or full refund.

Cancellation

You have the right to cancel an order within a reasonable time and before the Restaurant Partner has used food to start preparing the order (a "Started Order"). You can cancel an order by contacting the Restaurant Manager. Oodle and the Restaurant Partner may cancel any order and will tell you by email once we cancel an order. Any payment made prior to an order being canceled by Oodle or the Restaurant Partner will be reimbursed in accordance with our terms. Any order canceled after it becomes a Started Order will be charged to you. Refunds are not processed automatically. If you wish to get a refund, please email us the Order Id and any other details at [email protected] Oodle, in consultation with the Restaurant Partner has the sole discretion to determine whether an order is eligible for refund, within 3 working days. If your refund is approved, you will receive the refund in accordance with our Refund terms.

Price And Payment

The price of any food will be listed on our Service. Prices include VAT. Prices are liable to change at any time without notice. Despite our best efforts, some of the items listed on our Service may be incorrectly priced, in which case we will endeavour to refund the excess charge. Payment can be made by credit or debit card through our Service. Once your order has been confirmed your credit or debit card will have been authorised and the amount marked for payment. Payment is made directly to the Restaurant Partner.

Refunds

Any refunds shall be solely at our discretion and shall be made within 28 working days (or the earliest our payment gateway providers allow) using the same method as that used originally for the payment

Commentary and other materials posted on our Service are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to our Service, or by anyone who may be informed of any of its contents. Oodle relies solely on the information provided by Restaurant Partners, and as such we cannot guarantee that such information is correct (we will make all reasonable efforts to verify such information). This is particularly in the case of the menu where the name, description, price, allergy information, dietary information of a dish and the accompanying photographs and/or videos. Some photographs may be indicative, or may be place holders, and may not look like the dish that is served to you at the table.

Intellectual Property Rights

We are the owner of or the licensee of all intellectual property rights in our Site and our Service, and in the material published on it (excluding your Contributions). Those works are protected by copyright laws and treaties around the world. All such rights are reserved. You may not copy, reproduce, republish, download, post, broadcast, transmit, make available to the public, or otherwise use any content on our site in any way except for your own personal, non-commercial use.

Uploading Material To Our Site And Our Service

Any material you upload to our Service or data that we collect as set out above will be considered non-confidential and non-proprietary, and you acknowledge and agree that we have the right to use, copy, distribute, sell and disclose to third parties any such material or data for any purpose related to our business. In the event that Oodle or the Restaurant Partner is found to be liable to you our total aggregate liability is limited to the purchase price of the food you have paid for in your order. This does not exclude or limit in any way Oodle's or any Restaurant Partner's liability for any matter for which it would be illegal for us or it to exclude, or attempt to exclude, our or its liability, including liability for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation.

Events Outside Our Control

No party shall be liable to the other for any delay or non-performance of its obligations under these terms arising from any cause beyond its control including, without limitation,any of the following: act of God, governmental act, war, fire, flood, explosion or civil commotion. For the avoidance of doubt, nothing in this clause shall excuse the Customer from any payment obligations under these terms.

No Agency

Nothing in these terms is intended to constitute Oodle as your agent or authorise Oodle to enter into any commitments for or on your behalf.

Severability

If any provision of these terms is judged to be illegal or unenforceable, the continuation in full force and effect of the remainder of the provisions shall not be prejudiced.

Entire Agreement

These terms contain the whole agreement between the parties relating to its subject matter and supersede all prior agreements, arrangements and understandings between the parties relating to that subject matter.

Oodle may revise these terms of use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they are binding on you. We may notify you of changes if you have provided us your email id.

Law And Jurisdiction

The English courts will have jurisdiction over any claim arising from, or related to, any use of our Services.
